4.3 Clinical responsibility
The Platform is a documentation and decision-support tool. It does not replace clinical judgement. All clinical decisions remain the sole responsibility of the qualified healthcare professional. AI-powered features (drug dosage calculators, protocol guides, speech-to-text) are provided as aids and must be verified by the clinician before acting on them.
5. Data ownership and processing
5.1 Your data
You (or your organisation) retain ownership of all data entered into the Platform, including patient records, clinical documentation, operational data, and financial records. We do not claim ownership of your data.
5.2 Our role
Under POPIA, your organisation is the "responsible party" for the personal information of your patients and staff. UCIP acts as an "operator" processing personal information on your behalf, as defined in POPIA Section 1. We process data only as necessary to provide the Platform services and in accordance with your instructions.
5.3 Data processing agreement
By using the Platform, you enter into a data processing agreement with us. We will process personal information only for the purposes set out in these Terms and our Privacy Policy. We will implement appropriate technical and organisational measures to protect personal information as described in our POPIA Compliance page.
5.4 Data export
You may export your data at any time via the Platform's reporting and PDF export features. Upon termination, you may request a full data export within 30 days.
6. Intellectual property
The Platform, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by GettinDrikkieWithIt (Pty) Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during the subscription period.
Clinical protocols, drug reference data, and checklist templates provided within the Platform are for informational purposes and are based on published clinical guidelines. They do not constitute medical advice.
7. Service availability and support
7.1 Uptime
We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.
7.2 Offline capability
The mobile application includes offline functionality for critical clinical features. Data entered offline will sync to the server when connectivity is restored.
7.3 Support
Support is provided via email at support@ucip.co.za. Enterprise customers may have dedicated support channels as specified in their service agreement.
8. Limitation of liability
To the maximum extent permitted by South African law:
- The Platform is provided "as is" without warranties of any kind, whether express or implied
- We are not liable for any clinical outcomes arising from the use of the Platform. Clinical decisions are the responsibility of qualified healthcare professionals
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform
- Our total liability for any claim arising from these Terms shall not exceed the total amount you paid to us in the 12 months preceding the claim
- We are not liable for losses caused by data entered incorrectly by users, third-party service failures, or unauthorised access resulting from your failure to secure your credentials
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation, including POPIA.
10. Termination
We may suspend or terminate your access to the Platform if you breach these Terms, fail to pay subscription fees, or use the Platform in a manner that poses a security risk. Upon termination, you will have 30 days to export your data. After 30 days, your data will be handled in accordance with our data retention policy and POPIA requirements.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated via email to the admin user of each organisation at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the South African courts. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.
